Terms and Conditions

Bank Statement Matcher is an online platform that helps users reconcile and analyse financial data. Depending on your plan, the Service may include:

• Uploading bank statements and reference files for automated matching and reconciliation;
• Receipt scanning, data extraction (including optical character recognition) and receipt-to-transaction matching;
• Spending insights, categorisation and analytics generated from the data you provide;
• Programmatic access via our API, API keys, webhooks and sandbox/live environments;
• Integrations with third-party e-commerce, payment and accounting platforms; and
• Multi-client / workspace features for accountants, bookkeepers and businesses managing data on behalf of others.

The Service is provided on an "as-is" and "as-available" basis. We may add, change, suspend or remove features at any time.

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you use the Service on behalf of a company, organisation or other legal entity (including as an accountant or bookkeeper acting for a client), you represent that you are authorised to bind that entity to these Terms, and "you" refers to that entity. You are responsible for all activity that occurs under your account and for keeping your credentials and API keys secure.

By creating an account, uploading files, or otherwise using the Service, you expressly consent to our collection, storage and processing of the data you provide as described in these Terms and our Privacy Policy. This processing is carried out solely to operate and provide the Service to you.

You further represent and warrant that:

• you have the lawful right and authority to upload and process the data you submit;
• where the data contains personal information about third parties (for example your customers, employees or counterparties named in a statement or receipt), you have obtained all necessary consents, notices and legal bases required under applicable data-protection law;
• your use of the Service and the data will not violate any law or infringe the rights of any third party; and
• you will not upload payment card numbers, full card data or other data you are not permitted to store, and you acknowledge that the Service is not intended for the storage of cardholder data.

Where you use the Service to process personal data for which you (and not us) determine the purposes and means, you act as the data controller and we act as your processor. In that case our Data Processing Agreement applies to that processing and forms part of these Terms.

The Service may impose limits on:

• File size
• Number of uploads
• Matching operations
• API requests, credits and rate limits
• Daily or monthly usage

Limits may vary depending on your plan. We reserve the right to enforce usage limits, throttle or restrict access, or modify limits at any time.

You retain ownership of all files and data you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to host, process and transform it solely for the purpose of providing the Service to you. We do not claim ownership of your User Content and will not sell it or share it with third parties except as necessary to provide the Service or as described in our Privacy Policy. You are solely responsible for the accuracy, quality and legality of your User Content.

The Service performs automated matching, extraction, categorisation and analysis. These processes are provided for convenience and may produce incomplete, inaccurate or incorrect results, including false matches, missed matches, mis-categorised transactions or extraction errors.

The outputs of the Service are informational only and do not constitute accounting, auditing, tax, financial, investment, legal or other professional advice. You are solely responsible for independently reviewing and verifying all results before relying on them, and for any decisions you make based on them. You should consult a qualified professional where appropriate. We are not your accountant, auditor or financial adviser.

You agree not to:

• Upload unlawful, harmful, or infringing content
• Upload data you do not have the right to process, or personal data without a valid legal basis
• Attempt to gain unauthorized access to the Service or other users' data
• Interfere with, overload, or disrupt the Service or its infrastructure
• Resell, sublicense, or provide access to the Service or API to third parties without our written consent
• Use the Service for fraudulent, deceptive, or malicious purposes
• Reverse engineer, decompile, or disassemble any part of the Service

Some features of the Service require payment. If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Payments are processed by our third-party payment provider; we do not store your full card details.

Paid plans are billed in advance on a recurring basis (for example monthly or annually) and automatically renew for successive periods until cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period, and you retain access until then.

Except where required by applicable law, fees are non-refundable and there are no refunds or credits for partial periods or unused features. If you are a consumer in the EU/EEA, you may have a statutory right of withdrawal within 14 days; however, by starting to use a paid digital service during that period you acknowledge that the service is supplied immediately and expressly agree that you lose that right of withdrawal once performance has begun. We reserve the right to change pricing with reasonable prior notice.

The Service may interoperate with third-party services, including payment processors, banks and financial institutions, e-commerce platforms, accounting software and other integrations you choose to enable. Those services are operated by third parties under their own terms and privacy policies. We do not control and are not responsible for the availability, accuracy, security, or acts or omissions of any third-party service, and your use of them is at your own risk. Enabling an integration authorises the exchange of data between the Service and that platform to perform the requested function.

Raw uploaded files (such as statements and receipts) are deleted after processing. Structured results may be stored for a limited retention period to render your match screen, insights and exports, after which they are purged. You may delete individual jobs or your entire account at any time from your account settings or via the API, which erases the associated stored data. We reserve the right to delete User Content after a reasonable period of inactivity.

Your use of the Service is also governed by our Privacy Policy. We use industry-standard security measures to protect your data, including encryption in transit (TLS/SSL) and encryption at rest where provided by our hosting infrastructure. However, no method of transmission or storage is completely secure, and we cannot guarantee the absolute security of your User Content.

All intellectual property rights in the Service, including software, design, text, graphics, and logos, are owned by or licensed to us. You may not copy, modify, or distribute any part of the Service without our prior written consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ITS RESULTS WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR FREE OF HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, OR FROM ANY ERRORS OR INACCURACIES IN THE RESULTS IT PRODUCES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED EUROS (€100). NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY MANDATORY CONSUMER RIGHTS.

You agree to indemnify, defend, and hold harmless Bank Statement Matcher and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any law or the rights of any third party.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, you must immediately cease all use of the Service. Provisions of these Terms that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, indemnification, and limitations of liability.

We will not be liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, internet or telecommunications failures, power outages, or the acts or omissions of third-party service providers.

These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through the courts of the Republic of Cyprus. For EU residents, you may also use the Online Dispute Resolution platform provided by the European Commission at https://ec.europa.eu/consumers/odr. Nothing in this section deprives you of any mandatory consumer protection you are entitled to under the laws of your country of residence.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and, where applicable, the Data Processing Agreement, constitute the entire agreement between you and us regarding the Service, and there are no third-party beneficiaries.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
